MORGEX INSURANCE DISCLOSURE

Effective September 30, 2005 the assets and business of Morgex Insurance Group Ltd. were acquired by the national insurance agency Johnson Inc. (www.johnson.ca). The business will continue to be operated as a separate division under the trade name "Morgex Insurance."

Johnson Inc. shares common ownership with one of the insurance companies previously represented by Morgex for commercial and personal (home and auto) lines insurance, Royal & Sun Alliance Insurance Company of Canada, (www.royalsunalliance.ca) as well as Unifund Assurance Company (www.unifund.ca). Unifund is a leader in underwriting home and auto sponsor group programs. Unifund is the primary personal lines insurance company and Royal & Sun Alliance is one of the primary commercial lines insurance companies represented by Morgex.
